Terms of Service

The short version. Market Vitals is a research and education tool. Nothing on it is financial, investment, tax or legal advice, and nothing on it is a recommendation to buy, sell or hold anything. Scores, signals, backtests and "what happened next" figures describe the past and can be wrong. Crypto and stocks are risky and you can lose money. Every decision you make is your own. By creating an account, subscribing, or using the site, you agree to these Terms.

1. Who we are and what these Terms cover

Market Vitals (the "Service") is operated by BecauseBitcoin ("we", "us", "our"). These Terms of Service ("Terms") are a binding agreement between you and us. They cover the website at marketvitals.ai, the free preview, the Market Vitals Pro subscription, the affiliate program, and any emails, data or tools we provide with them.

If you use the Service for a company or other organization, you agree to these Terms on its behalf and confirm you have authority to do so. You must be at least 18 years old, and old enough to enter a contract where you live, to use the Service.

2. Research and education only, not advice

Everything on the Service is general information provided for research and educational purposes. That includes the market score, coin and stock scores, breadth readings, trading-rule signals, strategy pages, backtests, forward-return tables, "Today's read" summaries, portfolio tools, emails and anything else we publish.

Not advice. None of it is financial, investment, trading, tax, accounting or legal advice, and none of it is a recommendation or solicitation to buy, sell or hold any asset or to follow any strategy.
Not personalized. The Service does not know your finances, goals or risk tolerance. Even the portfolio tools only score the coins you enter; they do not tell you what you should do.
No adviser relationship. We are not a registered investment adviser, broker-dealer, commodity trading adviser or financial planner, and using the Service does not create an advisory, fiduciary or client relationship of any kind.
Your decisions are yours. You are solely responsible for your investment decisions and their results. Talk to a licensed professional before acting on anything you see here.

3. Past performance, backtests and data

The past does not predict the future. Historical figures, including how often an asset rose after a score entered a band, are descriptions of the past, not forecasts. Markets change and patterns stop working.
Backtests are hypothetical. Strategy results and "growth of $100" charts are simulated with the benefit of hindsight. They do not reflect real trading, real fills, slippage, liquidity, taxes, outages or emotions, and real results will differ, sometimes a lot. Any trading costs we include are estimates.
Data can be wrong, late or missing. Prices and other data come from third-party sources and our own calculations. They may contain errors, gaps, delays or revisions. Readings are refreshed on a schedule, so what you see may not reflect the market right now. We do not guarantee that any figure is accurate, complete or current.
Methods change. We may change how scores, signals and other readings are calculated at any time, which can change current and historical values.

4. Risk

Cryptocurrencies and stocks are highly volatile and speculative. Prices can fall sharply and quickly, assets can lose all of their value, exchanges and projects can fail, and regulation can change. Leverage and short selling can lose more than you put in. Only risk money you can afford to lose.

5. Your account

You sign in with your email address. Keep access to that email secure, because anyone who can read it can sign in as you. Your subscription is for you personally: do not share your account, sign-in links or codes, and do not resell or give away access. We may suspend an account we reasonably believe is being shared or misused.

6. Subscriptions, billing and renewal

Plans. Market Vitals Pro is sold as a monthly, quarterly or annual subscription at the price shown when you subscribe. Payments are processed by Stripe; we never see or store your full card number.
Automatic renewal. Your subscription renews automatically at the end of each billing period, and your payment method is charged the then-current price, until you cancel.
Cancelling. You can cancel any time from Manage billing in your account menu. Cancelling stops future renewals; you keep access until the end of the period you already paid for.
Price changes. We may change prices. A new price applies from your next renewal after we have given you notice, and you can cancel before it takes effect.
Taxes. Prices may not include taxes, which are your responsibility where they apply.
Promotions and free access. Discount codes, trials and complimentary access are offered at our discretion, may have their own conditions, and can be ended or changed.

7. The 30-day money-back guarantee and refunds

If you are not happy, you can get a full refund of your first payment on your first Pro subscription within 30 days of that payment, no questions asked, using Request a refund in your account menu. Refunding ends your Pro access immediately.

The guarantee covers the first payment only. Renewals and later payments are not refundable, including partial periods after you cancel, except where the law requires otherwise. We may refuse a refund where the guarantee is being abused, for example repeated sign-up and refund cycles.

8. Acceptable use

You agree not to:

copy, scrape, crawl, download in bulk, or systematically collect data, scores or content from the Service, by bot or otherwise;
republish, redistribute, sell, sublicense or commercially exploit the Service or its data, including in other products, feeds, models or signal services, without our written permission;
get around the paywall, sign-in, rate limits or other security, or access parts of the Service you are not entitled to;
reverse engineer the Service except where the law allows it;
interfere with the Service, overload it, or introduce malicious code;
use the Service for anything unlawful, or to mislead others, for example by presenting our readings as personalized advice or as guaranteed results.

Sharing an occasional screenshot for personal, non-commercial discussion, with credit to Market Vitals, is fine.

9. Affiliate program

If we accept you as an affiliate, you can share a referral link and earn the commission we offer on subscriptions it brings in, as shown in your affiliate dashboard. Commission is calculated on money we actually collect, net of payment processing fees, refunds and chargebacks, and is paid at times and by methods we choose. We may change the rate or the program, or end your participation, at any time; commission already earned before a change stays owed. You must not make misleading claims about the Service (including promising returns or calling it advice), spam, bid on our brand name in ads, or refer yourself. We may withhold commission earned through abuse.

10. Ownership

The Service, including its software, design, scores, methods, text, charts and data compilations, belongs to us or our licensors and is protected by law. Your subscription gives you a personal, limited, non-transferable, revocable right to use the Service for your own research while your access is active. Everything not expressly granted is reserved. If you send us feedback or ideas, we may use them freely without owing you anything.

11. Your information

We keep what we need to run the Service: your email address, your subscription and payment records (held by Stripe), and basic usage and security logs. If you join as an affiliate, we also record clicks on your link and the subscriptions it brings in. Portfolio holdings you enter are stored only in your browser on your own device and are not sent to us. We use your email to sign you in and to send account and service messages. We do not sell your personal information.

12. Availability and changes to the Service

We work to keep the Service running, but we do not promise it will always be available, uninterrupted or error-free. We may add, change or remove features, coins, stocks, strategies or data sources, and we may suspend the Service for maintenance or reasons outside our control.

13. Disclaimer of warranties

The Service is provided "as is" and "as available". To the fullest extent the law allows, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, title and non-infringement. We do not warrant that the Service or any data, score, signal or result is accurate, reliable, complete, timely, profitable, or free of errors or harmful components.

14. Limitation of liability

To the fullest extent the law allows, we and our owners, team members, affiliates and data providers will not be liable for any trading or investment losses, lost profits, lost data, or any indirect, incidental, special, consequential or punitive damages, arising from or related to the Service or these Terms, even if we were told such damages were possible. Our total liability for any claim related to the Service or these Terms is limited to the amount you paid us for the Service in the 12 months before the claim arose, or US $100 if you paid nothing. Some places do not allow some of these limits, so they apply to you only as far as the law permits.

15. Indemnity

You agree to defend and hold us harmless from claims, losses and costs (including reasonable legal fees) arising from your misuse of the Service, your breach of these Terms, or your investment or trading decisions.

16. Suspension and termination

You can stop using the Service and cancel your subscription at any time. We may suspend or end your access if you break these Terms, if we are required to by law, or if we discontinue the Service. If we discontinue the Service entirely without any fault on your part, we will refund the unused part of any prepaid period. Sections that by their nature should survive termination, including 2, 3, 4, 10 and 13 to 18, survive.

17. Disputes and governing law

Please contact us first; most problems can be sorted out quickly. These Terms are governed by the laws of the United States and of the state in which BecauseBitcoin is organized, without regard to conflict-of-law rules. Any dispute that we cannot resolve informally will be brought only in the state or federal courts located there, and you and we consent to their jurisdiction, except that either side may bring a claim in small-claims court where it qualifies. To the extent the law allows, claims must be brought individually and not as part of a class or representative action.

18. Changes to these Terms and general terms

We may update these Terms. When we do, we will change the version date above, and for material changes we will give notice, for example by email or on the site. Continuing to use the Service after changes take effect means you accept them; if you do not agree, cancel before they apply. These Terms are the entire agreement between you and us about the Service. If any part is found unenforceable, the rest stays in effect. Our not enforcing a provision is not a waiver. You may not transfer these Terms; we may transfer them to a successor running the Service.
